EU Inc.: Company registration could soon take just 48 hours

The EU plans a new company form with online registration, no minimum share capital and a fee capped at €100. Member states have agreed on a common position.

Starting a company in the European Union could become easier. On 23 October 2026, EU member states agreed on a common position regarding the introduction of a new legal form called “EU Inc.”

Individuals could also set up an EU Inc.

The new legal form would not be limited to larger businesses. Under the current proposal, a single person could establish an EU Inc. without needing any additional shareholders. This could be particularly interesting for people looking to start a software company, an online shop or another type of business. People who are not EU citizens would not automatically be excluded. However, anyone wishing to work as a self-employed person in Germany would still need to meet the applicable residence and immigration requirements.

What would be the advantages and disadvantages?

The proposed legal form could make setting up a company considerably easier. Under the simplified procedure, registration should be possible entirely online within 48 hours, with a maximum registration fee of €100 and no minimum share capital requirement. The new rules also aim to make it easier for companies to attract investors and operate across several EU countries. Another advantage would be limited liability. Generally, the company itself would be responsible for its debts, rather than shareholders automatically being liable with their personal assets. Personal liability could still arise in certain circumstances. However, an EU Inc. would still have legal and financial obligations. Companies would need to file tax returns, maintain accounting records and obtain any necessary permits. There would also be ongoing expenses, such as insurance and accounting services. The proposed registration fee of no more than €100 therefore does not mean that setting up and running a company would cost only €100.

When will EU Inc. become available?

It may still take some time before the new legal form becomes available. The agreement reached on 23 October 2026 establishes the common negotiating position of the EU member states. The European Parliament must also adopt its position on the proposal. Parliament and the Council will then need to agree on the final legislation. No official date has been set for the introduction of EU Inc.

EU Inc. is not yet available for company registration. Anyone wishing to start a business in Germany now can use existing legal forms, such as a sole proprietorship, a UG (haftungsbeschränkt) or a GmbH.
